The evolution of software licensing has mirrored the rapid technological advancements over the past few decades. Initially, shrink wrap licenses dominated the market. These licenses were agreements enclosed within the packaging of software products. By opening the package, users implicitly agreed to the terms and conditions. This method was convenient during the era of physical software distribution but had significant limitations, particularly in enforcing and proving the user’s acceptance of the license terms

The Case That Made Shrink Wrap Licenses Legal

The legality of shrink-wrap licenses was significantly bolstered by the landmark 1996 case of ProCD, Inc. v. Zeidenberg. In this case, ProCD, a company that sold a CD-ROM database of telephone directories, sued Matthew Zeidenberg for reselling the information contained in the software, which was prohibited by the license agreement enclosed within the product’s packaging.

The legal argument centered on whether the shrink wrap license, which Zeidenberg did not explicitly agree to before purchasing the software, was enforceable. Zeidenberg argued that the terms did not bind him because he disagreed with them at the point of sale.

The United States Court of Appeals for the Seventh Circuit ruled in favor of ProCD, holding that the shrink wrap license was enforceable. The court reasoned that by opening the package and using the software, Zeidenberg had implicitly accepted the terms of the license agreement. The decision emphasized that consumers had the opportunity to review the terms and return the product if they disagreed with them.

This ruling set a significant precedent, establishing that shrink-wrap licenses could be legally binding. It underscored the notion that opening a product and using the software constituted acceptance of the terms, even if the consumer was not explicitly aware of them at the time of purchase.

The Transition to Click-Through Licenses

As digital distribution began to overtake physical sales, the industry saw a natural progression towards click-through licenses. Unlike shrink-wrap licenses, click-through agreements require users to actively accept the terms by clicking an “I Agree” button before downloading or installing the Software. This method ensures that users know and consent to the license terms, providing a more precise legal footing for software developers and publishers.
